Service Agreement – Contractor Lead Generation Program

1. Client Responsibilities

To ensure the effectiveness of the services and the fulfillment of the program, Client agrees to provide Digital Vertex with accurate, complete, and up-to-date business information and access necessary to perform the services.

• Access to the Client’s Google Business Profile (formerly Google My Business), including a verified business address;
• Website login credentials and other website access reasonably required to perform the services;
• Approval of targeted keyword terms;
• Approval of designated service areas and geographic locations;
• Accurate information regarding the contracting services offered by Client;
• Customer information or job addresses when reasonably necessary for service delivery; and
• Any other information or access reasonably requested by Digital Vertex to perform the services.

All requested information, credentials, approvals, and access must be provided within five (5) days of the start of the Growth Program, unless otherwise agreed to in writing.

Client understands that delays, inaccuracies, incomplete information, or failure to provide required access may affect the timing and performance of the services and may delay any applicable guarantee.

2. Google Ranking Guarantee

Digital Vertex guarantees that at least three (3) approved keyword terms selected from the keyword list provided to and approved by Client will achieve a position within the Top 3 Google Map Pack for the agreed-upon service area(s).

• Relate directly to the contracting services offered by Client;
• Be included on the approved keyword list;
• Be relevant to the Client’s designated service area(s); and
• Be reasonably appropriate for the Client’s business and market.

If Digital Vertex does not achieve Top 3 Google Map Pack placement for at least three (3) approved keyword terms within the first month of the program, Client will not be required to make additional monthly payments until the guaranteed ranking requirement has been achieved.

The guarantee applies only to the specific approved keyword terms and service areas covered by this Agreement. Rankings may vary based on search location, device, search history, Google algorithm changes, competition, and other factors outside of Digital Vertex’s control.

3. Terms & Payment Schedule

The Growth Program operates on a month-to-month basis.

Payment is due in advance on a monthly basis on the same calendar day each month, beginning on the service start date.

If payment remains unpaid for more than fifteen (15) days after the applicable due date, Digital Vertex reserves the right to suspend or disconnect all services until the account is brought current.

Payments made during the subscription period are non-refundable, including payments for a month in which Client elects not to fully utilize the services.

4. Term & Cancellation

This Agreement operates on a month-to-month basis.

Client may cancel the Agreement by providing written notice via email at least thirty (30) days prior to the requested cancellation date.

Services will continue during the applicable thirty (30) day notice period, and all payments due during that period remain the responsibility of Client.

5. Limitation of Liability

Digital Vertex will use commercially reasonable efforts to provide the services described in this Agreement. However, Client understands that lead volume, phone calls, website traffic, customer inquiries, booked appointments, closed jobs, revenue, and overall business performance may be affected by factors outside of Digital Vertex’s control.

• A specific number of leads, calls, inquiries, appointments, or customers;
• A specific number or dollar amount of closed jobs;
• Any specific revenue, sales, or return on investment;
• Client’s ability to convert leads into paying customers; or
• The performance, availability, policies, or actions of third-party platforms, including Google or other search engines.

Digital Vertex is not responsible for Client’s internal sales processes, responsiveness, pricing, availability, reputation, customer service, close rates, or other factors affecting the conversion of leads into customers.

The ranking guarantee described in Section 2 applies solely to the specific Google Map Pack ranking commitments stated therein and does not constitute a guarantee of leads, closed sales, revenue, or profit.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
