I. Website Process, Phase I:

a. Client, upon signature of this contract, authorizes Digital Vertex Inc. to design, develop, test, and deliver the below service product.  Digital Vertex shall assign a project manager (PM), graphic designer (GD) and developer(s) (D) to the clients project. Once the client is assigned a team the PM will consult with the client regarding feedback, ideas, direction and goals. PM will need material provided by the client for this phase such as logo, content, images, videos (if any), email for contact form lead, Calendly link, link to Medicarcenter, website samples and specifications. Client shall provide in an electronic format to Digital Vertex and all assets necessary to complete the service product.   Assets shall include, but not limited to, any logos, content, images, links for the successful production of the service product.

b. After receiving the requested material, Digital Vertex Inc. will present the Client a coded website for final changes or approval and or changes.

c. Once the mockup is submitted, Client has a maximum of three (3) sets of revisions allotted to the final link. Revisions are changes to the existing design content changes, revisions does not include a redesign of the layout unless otherwise negotiated.

d. All correspondence is requested via email to save as an emailing thread.

II. Website Production, Phase II:

a. During production, Phase II, client shall be able to view the progress of the service product online. Functional Specification pertains to web sites navigation abilities including, but not limited to, the number of pages, the appropriate links,3rd party links, and title of each web page, payment gateway and merchant information, java, gallery presentation and anything described in sec IV. If there are any design changes after initial design is agreed (converted) by client and needing template rework, there may be an additional $65 per hour. Client will be notified of any charges prior for client approval plus a notification to aware the client that we are getting close to the maximize revisions allowed.

b. Once all the specifications and functionality are properly scripted into the design, Client has a maximum of three (3) sets of revisions to the temporary beta site for approval, unless client requests to post the site live prior. If revisions exceed three (3) there may be an additional hourly charge of $65 per hour. Client will be notified of any charges prior for client approval plus a notification to aware the client that we are getting close to the maximize revisions allowed before we get to the 3rd revision. All additional charges will be charged to the card on file unless client specifies not to use the specified card on file.

III. Website Test and Launch:

a. Digital Vertex Inc. will test the Service Product for functionality that was scripted by Digital Vertex Inc. After the testing phase, Digital Vertex Inc. shall present the Final Product to Client by providing a link or uploading to the clients server for their own testing. Client shall have 30 days to test the Final Product for functionality and design. Client shall then report any desired revisions to the Final Product to Digital Vertex Inc. Client shall have a total of a final three (3) revisions after the Final Product. Revisions shall include those slight or minor changes to functionality or design such a text or images, but shall not include a complete redesign or complete change in the design makeup of the Final Product after client has approved the layout.

b. Digital Vertex Inc. shall have the right to refuse any revision requests Digital Vertex Inc. determines is a redesign or complete change to the design makeup of the Final Product. If the client has new changes that need to be redesigned on the CSS then Digital Vertex Inc. may charge an additional $65 per hour as stated in section IIa.

c. Once Client approves the Final Product, client shall notify Digital Vertex Inc. of acceptance of the Final Product by either approving the site to run live or requesting the files to be zipped via email or any upload method. Any method is acceptance of the final product. Acceptance shall end all duties and responsibilities of Digital Vertex Inc. to Client unless otherwise negotiated by both parties.

IV. Cost, specs and estimated time frame:

According to the terms listed above, the description and cost for this service product shall be as follows:

V. Deposit, Payment and Specifications on projects:

a. Deposits and payments made to date are nonrefundable. Balances that exceed 60 days from the day of signing then the balance will be automatically billed in full. If there is no movement on the project for over 60 days then it will automatically be put into a holding status.

b. The SSL certification is to be provided by the client or if Digital Vertex Inc. is hosting then Digital Vertex Inc. will provide the SSL certification at its standard cost. Gateways should be either paypal or authorize.net, if any other gateways are used and require an extension to be build, this could add an additional charge

c. All projects that exceed 60 days from contract date will be put on hold status until client is ready to proceed with completion of the project. There will be a $300 reactivation fee unless otherwise negotiated between both parties. Should a contract exceed 120 days with no correspondence from the client and no advanced arrangements are made between client and Digital Vertex Inc. then the contact will be forfeited.

d. If client request additional pages, forms, functions, additional scripting or additions outside of the specs agreed to by both parties, Digital Vertex Inc. will charge any additional costs needed. Any changes after approval of Final Product as described in sec IIIc. would reflect hourly charges.

e. If Client wishes to settle scheduled payments using alternative form of payment other than original card on file, Client shall provide Digital Vertex all necessary payment information.

f. All websites will be purged after 6 months of completion from our server. Completion consist of running a website live or zipping the files to the client. The client is responsible for backing up all files on their desktop for their records unless otherwise negotiated.

g. There is a 3% service charge for all major credit cards that will be applied to the total charge.

VI. Logo Production and graphic design work:

a. If Client has contracted for the development of Logo Production or graphic design work as described in sec. IV, Digital Vertex Inc. will send a set of questions to client pertaining to the direction of the logo identity design. Once client returns questionnaire, Digital Vertex Inc. shall provide a maximum of three (3) comps for Client’s review. Client shall have a maximum of five (5) Revisions. If Client requests additional comps, Digital Vertex will provide 2 new comps for an additional $150.00 fee. If a client requests a new direction after the first set of comps are provided, there will be another logo design charge billed to client of the same original value. All logo files will be provided to the client including the original raw file plus the high resolution jpg and PDF.

b. Client is to provide a direction for which Digital Vertex Inc. should use as reference along with creativity of Digital Vertex Inc. designer to complete development. The Logo that is approved and accepted by client shall be the exclusive intellectual property of Client. All other logos presented in development stages prior to Final Approval shall be the sole and exclusive intellectual property of Digital Vertex Inc.

c. For any graphic design work, Client shall give to Digital Vertex Inc. all assets necessary to complete the service product. Assets shall include, but are not limited to, any logos, colors, content, images, or ideas for the successful production of the service product. Client shall have a maximum of three (3) Revisions. If revisions exceed (3) there may be an additional hourly charge of $75 per hour. Client will be notified of any charges prior for client approval plus a notification to aware the client that we are getting close to the maximize time allowed. All additional charges will be charged to the card on file. Final accepts shall be the exclusive intellectual property of Client.

d. Logo production costs are paid 100% in full prior to beginning the development.

VII. Forfeiture:

a. If Client should wish to terminate this contract after signature, written termination shall be considered Forfeiture. Termination of the contract shall include, but is not limited to, failure to pay, inability to reasonably work with Digital Vertex Inc. or halting Digital Vertex Inc. Production of the service product.

b. All payments must be made on time and according to the terms of the agreement. Should any due payment be missed without prior notification from the client, the project will be put on holding status and will be a $300 restoring fee. Client should advise Digital Vertex Inc. with any payments needing to be paid at a later agreed date.

c. Should a contract exceed 120 days with no correspondence from the client and no advanced arrangements are made between client and Digital Vertex Inc. then the contact will be forfeited.

VIII. Intellectual Property Rights:

a. All completed work subject to this Contract produced by Digital Vertex Inc. and after all duties and responsibilities of each party under this contract are fulfilled, shall be the sole possession and ownership of Client unless otherwise agreed to in writing by Client and Digital Vertex Inc.

b. Digital Vertex reserves the right to list Digital Vertex Inc. as the producer or designer of the service product unless otherwise specified by client.

c. All work not completed or refused by Client and therefore not the finished and completed product subject to the Contract shall not be the intellectual property of Client and will remain the sole exclusive intellectual property of Digital Vertex Inc.

d. Digital Vertex Inc. retains the right to display the clients website on Digital Vertex’s website.

e. Upon release from AGA, your website will be deactivated within 30 days.

IX. Severability:

If any clause, section, or provision of this contract shall be governed to be invalid or void, the remaining provisions of this contract shall continue in full force and effect. This agreement is governed by California law and any disputes shall be resolved in Los Angeles County.
